1. Purpose of the Agreement
   Stayfindar provides an online platform that allows Hosts to list properties for booking by Guests. This Agreement governs the terms and conditions under which the Host lists properties and provides accommodation services through the Stayfindar platform.
2. Service Charge
   • Stayfindar shall charge the Host a Service Charge equal to 10% of the gross booking amount (excluding taxes and additional guest fees) set by the Host.
   • Special Offer: Hosts who onboard between May 1, 2025, and October 31, 2025 will enjoy a reduced Service Charge of 3% for their first twenty (20) bookings. After the first twenty bookings, the standard 10% Service Charge will apply.
3. Host Responsibilities
   • Property Standards: All listed properties must accurately reflect the description, amenities, and condition as advertised on the Stayfindar platform. Failure to meet the advertised standards will render the booking void, and a full refund will be initiated to the Guest.
   • Refunds and Cancellations:Hosts agree to comply with Stayfindar's cancellation and refund policies. If a Host cancels a confirmed booking or if the property does not meet the agreed standard, the Host will be responsible for any necessary refunds.
   • Maintenance and Management:Hosts must ensure that properties are safe, clean, and in good repair at all times. Hosts are responsible for all maintenance, repairs, and compliance with applicable health, safety, and zoning laws.
4. Refundable Deposit Structure
   • Hosts may set a Refundable Deposit amount for their listed property.
   • Stayfindar will collect the Refundable Deposit from Guests at the time of booking and hold the funds in escrow pending completion of the Guest's stay.
   • If no dispute is recorded by the Host within the defined dispute window following Guest checkout, Stayfindar will automatically refund the Refundable Deposit to the Guest.
   • If a dispute is raised by the Host, the Refundable Deposit will be temporarily held until the dispute is resolved in accordance with Stayfindar's dispute resolution procedures.
5. Payment Terms
   • Payouts for completed bookings will be made to the Host subject to Stayfindar's payout schedule and any applicable deductions, including the Service Charge.
   • Specific payout terms, including payment timelines, currency, and banking requirements, will be outlined in a separate Payout Terms Addendum, which the Host must review and sign.
6. Legal Relationship
   • This Agreement constitutes a direct contractual relationship between Bubble Colony LTD (operating as Stayfindar) and the Host.
   • Hosts are independent contractors and not employees, agents, or representatives of Stayfindar.
7. Indemnity and Limitation of Liability
   • The Host agrees to fully indemnify, defend, and hold harmless Bubble Colony LTD, operating as Stayfindar, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, expenses, or proceedings (including reasonable attorney's fees) arising out of or relating to:
     • The Host's breach of this Agreement;
     • The Host's property, its condition, and any accidents, injuries, death, or property damage occurring at or related to the property;
     • Any violation of applicable laws, regulations, or third-party rights.
   • Stayfindar is a technology-based booking platform and does not own, manage, control, or operate any properties listed. Stayfindar is not responsible for any death, injury, illness, loss of property, damage, theft, or any costs or expenses arising from or related to the Guest's booking, stay, or use of a listed property.
   • Under no circumstances shall Stayfindar be liable to the Host, Guests, or any third party for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the use of the Stayfindar platform.
8. Termination
   • Either party may terminate this Agreement with written notice.
   • Stayfindar reserves the right to immediately suspend or terminate a Host's account for breaches of this Agreement, misconduct, fraudulent activity, or properties that do not meet quality or safety standards.
9. Governing Law
   • This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
10. Entire Agreement
    • This Agreement, along with any referenced policies and the Payout Terms Addendum, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements or understandings.

STAYFINDAR PAYOUT TERMS ADDENDUM

1. Payout Schedule
   • Payouts to Hosts will be initiated within five (5) business days after Guest check-in, subject to successful payment processing and no disputes being raised.
   • For Refundable Deposits, Stayfindar will hold the funds in escrow and release them in accordance with the Refundable Deposit policy outlined in the Host Agreement.
2. Payment Method
   • Hosts must provide valid bank account details (including account name, number, and bank name) through the Stayfindar platform.
   • Stayfindar will disburse funds through direct bank transfer unless otherwise agreed in writing.
3. Deductions
   • The following amounts will be deducted from each payout:
     • Stayfindar's Service Charge (as detailed in the Host Agreement);
     • Any transaction fees or processing costs applicable to the payout;
     • Any Guest Refunds, where applicable.
4. Currency and Exchange Rates
   • Payouts will be made in Nigerian Naira (NGN) unless otherwise specified and agreed.
   • If a booking is made in a different currency, currency conversions will be applied based on prevailing exchange rates at the time of transaction.
5. Refunds and Chargebacks
   • In the event a Guest is entitled to a refund or issues a chargeback after payout has been made to the Host, Stayfindar reserves the right to recover such amounts directly from the Host, including deducting from future payouts.
6. Disputes Regarding Payouts
   • Hosts must notify Stayfindar in writing of any payout discrepancies within ten (10) days of receiving the payout. Failure to notify within this period constitutes acceptance of the payout amount as final.
7. Tax Compliance
   • Hosts are solely responsible for reporting and remitting any taxes related to their earnings from Stayfindar. Stayfindar may issue appropriate tax documentation where applicable but will not be responsible for any Host tax obligations.
8. Modifications
   • Stayfindar reserves the right to modify these payout terms with seven (7) days prior notice to Hosts.
